14         On page 93, lines 2-7, delete those lines

16  and insert:  the certified investor;.

17         (d)  Is a subsidiary of the certified investor or 10

18  percent or more of whose outstanding voting securities or

19  other ownership interest are directly or indirectly owned,

20  whether through rights, options, convertible interests, or

21  otherwise, by the certified investor; or

22         (e)  Directly or indirectly controls, is controlled by,

23  or is under the common control with the certified investor.
