| 19 | Section 7. Effective upon this act becoming a law, |
| 20 | paragraph (b) of subsection (2) of section 1004.445, Florida |
| 21 | Statutes, is amended to read: |
| 22 | 1004.445 Johnnie B. Byrd, Sr., Florida Alzheimer's Center |
| 23 | and Research Institute.-- |
| 24 | (2) |
| 25 | (b)1. The affairs of the not-for-profit corporation shall |
| 26 | be managed by a board of directors who shall serve without |
| 27 | compensation. The board of directors shall consist of the |
| 28 | President of the University of South Florida and the chair of |
| 29 | the State Board of Education, or their designees, 5 |
| 30 | representatives of the state universities, and no fewer than 9 |
| 31 | nor more than 14 representatives of the public who are neither |
| 32 | medical doctors nor state employees. Each director who is a |
| 33 | representative of a state university or of the public shall be |
| 34 | appointed to serve a term of 3 years. The chair of the board of |
| 35 | directors shall be selected by a majority vote of the directors. |
| 36 | Each director shall have only one vote. |
| 37 | 2. The initial board of directors shall consist of the |
| 38 | President of the University of South Florida and the chair of |
| 39 | the State Board of Education, or their designees; the five |
| 40 | university representatives, of whom one shall be appointed by |
| 41 | the Governor, two by the President of the Senate, and two by the |
| 42 | Speaker of the House of Representatives; and nine public |
| 43 | representatives, of whom three shall be appointed by the |
| 44 | Governor, three by the President of the Senate, and three by the |
| 45 | Speaker of the House of Representatives. |
| 46 | 3. Upon the expiration of the terms of the initial |
| 47 | appointed directors, all directors subject to 3-year terms of |
| 48 | office under this paragraph shall be appointed by a majority |
| 49 | vote of the directors. and |
| 50 | 4. The board may be expanded to include additional public |
| 51 | representative directors up to the maximum number allowed. |
| 52 | Additional members shall be added by a majority vote of the |
| 53 | directors. |
| 54 | 5. Any vacancy in office shall be filled for the remainder |
| 55 | of the term by majority vote of the directors. Any director may |
| 56 | be reappointed. |

| 58 | Section 8. Except as otherwise provided herein, this act |
| 59 | shall take effect July 1, 2004. |
